Certificate of Memorandum

Companies in the United Kingdom are required to have both a Certificate of Memorandum and Articles of Association in order to become registered and incorporated at Companies House.


The Certificate of Memorandum is a single page legal statement that contains the names of the founding members of the company and declares each subscriber’s intention to incorporate the company and become a member.
